Terms of Service

Effective May 6, 2026

These Terms govern your church's use of Collie ("the Service"), provided by FlockConnect LLC ("we", "us"). By creating an account, signing in, or paying for a subscription, you agree to these Terms on behalf of your church organization and represent that you have authority to bind that organization.

The Service

Collie is an AI assistant for pastors and church staff. It helps draft emails, prep for meetings, transform sermon recordings, log pastoral visits, and coordinate volunteers — among other skills detailed at /skills. Every external action (email, calendar invite, social post, message) requires explicit human approval before it leaves the platform.

Your account

We use Clerk Organizations to keep one church's workspace separate from every other church. Row-Level Security scopes church data to the active Clerk organization. Team invitations and finer-grained staff roles are being added as the pilot expands; until then, only invite people you trust to work inside your church's workspace.

You are responsible for keeping your sign-in credentials secure and for the actions of everyone you invite to your church. If you suspect unauthorized access, email michael@tribett.dev immediately.

Customer responsibilities

Your church is responsible for its ministry decisions, legal compliance, safeguarding policies, employment decisions, pastoral-care decisions, reporting obligations, denominational requirements, and the content that your users upload, approve, send, publish, or rely on through Collie.

You are responsible for obtaining any notices, permissions, parental consents, employment approvals, licenses, or third-party permissions required before uploading church records, connecting Planning Center, approving an external action, or using an output outside the Service.

What Collie will never do

The following are platform-level guardrails, enforced in code and detailed at /trust:

  • Generate new sermon content or theological claims attributed to you.
  • Process counseling, confessional, or crisis content.
  • Derive information about specific minors.
  • Send any external communication without explicit human approval.
  • Treat financial data as writable.

You agree not to attempt to bypass these guardrails. We reserve the right to suspend accounts that repeatedly attempt to do so.

Acceptable use

You agree not to:

  • Upload content you do not have rights to use.
  • Use the Service to harass, threaten, or defraud anyone.
  • Reverse-engineer the Service or attempt to extract our model prompts.
  • Probe or attack the multi-tenancy isolation (Row-Level Security policies, JWT claims).
  • Resell or sublicense the Service without our written consent. (Multi-site deployments under one denomination are fine — talk to us about pricing.)

Subscription, billing, and cancellation

Pricing tiers are listed at /billing. You can upgrade, downgrade, or cancel at any time from the Stripe Customer Portal, accessible from /billing.

  • Subscriptions renew monthly until canceled.
  • Cancellation takes effect at the end of your current billing period; you keep access through that date.
  • Token usage above your tier's monthly cap is billed at $0.10 per 100,000 tokens via Stripe Meters.
  • Refunds are handled case-by-case; email us within 14 days of the charge.

Your content; your rights

You retain all rights to content you upload to Collie — chat messages, voice memos, reading-list entries, pastoral visit logs, etc. We do not claim ownership of any of it.

You grant us a limited license to process your content as needed to operate the Service (store it in our database, send PII-redacted prompts to Google Vertex AI Gemini for inference, deliver approved emails through Resend, etc.). This license ends when you delete the content or close your account.

AI output is not professional advice

Drafts produced by Collie are starting points, not final products. You are responsible for reviewing, editing, and approving every output before it goes to a recipient. Nothing produced by Collie constitutes legal, financial, medical, mental health, or professional pastoral counseling advice — even when the model is asked or seems to provide such advice.

Collie is not an emergency service, crisis line, counseling provider, financial advisor, tax preparer, attorney, mandated-reporting substitute, or safeguarding authority. If a situation involves harm, abuse, self-harm, violence, a medical emergency, a legal deadline, or a mandatory reporting obligation, use appropriate professional, emergency, legal, or denominational channels instead of the Service.

Third-party integrations

When you connect Planning Center, your use of Planning Center is subject to that provider's terms. To the fullest extent permitted by law, FlockConnect LLC is not responsible for outages, data losses, data handling, security incidents, policy changes, or behavior of third-party services you choose to connect, except where applicable law says otherwise.

Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, deploy updates, or take the Service offline temporarily. We will give reasonable notice for planned maintenance via email or in-product banners when feasible.

Termination

You can cancel your subscription at any time. We can terminate or suspend your account for material breach of these Terms, repeated guardrail-bypass attempts, non-payment, or legal compulsion. We will provide notice and (when reasonable) a chance to cure before termination. Upon termination, you can request a data export within 30 days.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of liability

To the fullest extent permitted by law, FlockConnect LLC is not responsible for your church's pastoral, legal, financial, employment, safeguarding, counseling, reporting, or compliance decisions; content your users submit, approve, send, publish, or rely on; unauthorized access caused by your credentials, invitations, devices, or network; use of the Service outside these Terms; or third-party services and AI providers outside our control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOCKCONNECT LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify and hold FlockConnect LLC harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law.

Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. The governing law and venue for a paid pilot may be superseded by the signed order form, data-processing addendum, or other written agreement between your church and FlockConnect LLC.

Informal resolution and arbitration

Before filing a claim, you agree to email us at michael@tribett.dev and give both sides 30 days to try to resolve the dispute informally. If a dispute cannot be resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA), unless applicable law requires a court or the signed order form says otherwise.

Disputes must be brought only on an individual basis. Neither side may bring or participate in a class action, class arbitration, private attorney general action, or other representative proceeding to the fullest extent permitted by law.

Changes to these Terms

When we materially change these Terms, we'll update the "Effective" date at the top and email account Owners at least 14 days before the change takes effect. Continued use after that constitutes acceptance.
